(1) Free Information And No Obligation Consultation
Business owners who are considering perhaps selling their businesses should register with this ABMI web site to arrange to receive information which can help you investigate how you might sell a business with minimum risk and maximum benefit to you.
ABMI will then provide you with information and a free, no cost, no obligation consultation, including a free evaluation that will help you understand what a qualified buyer is likely to pay for the business. During the evaluation we can also provide information about: confidentiality; staging/packaging of the business for sale; multi media marketing of the business; buyer discovery and development; negotiation tips with buyers; how ABMI volunteers to manage the entire process, including composition and management of the Letter Of Intent/Offer To Purchase process, working with your accountant, attorney, landlord and other advisors; ABMI volunteering to assist the buyer in obtaining the financing needed; and including our managing the due diligence process so that there is minimum interference by the parties in the operation of your business during the acquisition/selling process.
(2) Free Evaluation/Pricing
This service helps the business owner understand "the realities of the marketplace" so the business can be priced at the top price a buyer is likely to pay in today's market. Having successfully brokered the sale of thousands of businesses over the last almost 30 years, totaling hundreds of millions of dollars in transactions, ABMI has a depth of knowledge of pricing/evaluations that is unique in the business brokerage industry. In those cases where the evaluation/pricing produces a value that the seller finds acceptable, the business owner may engage ABMI to market the business, with most such engagements being relationships whereby ABMI receives no advance fees, but receives a commission when the business sells.
All of the information you share with the ABMI agent during the initial consultation will be kept completely confidential, and will not be divulged to anyone else, until and unless you approve by signing ABMI's Listing Agreement. And, even then, all buyers will be required to provide ABMI with a Confidentiality Agreement before they will be allowed access to information about the business.
Even if you don't choose to sell your business at the present time, you will find the evaluation to be a valuable informational asset. Even when the owner might be months or years away from considering selling the business, the ABMI evaluation/pricing sercvice has proven to be useful, by offering the owner tips which, if implemented now, can help stage the business for sale later. (3) Fee Based Consultations/Evaluations
ABMI charges no front fees to sellers on most small and medium size business representations. But, we also accept special consulting engagements by business owners whereby ABMI receives a retainer for it's services, against a commission when the business sells. There is never a fee for the initial consultation, and the fee based engagements are only with the seller's approval. However, most engagements with small and medium size business owners are on a commission only basis.

(4) Listing Agreement
When a business owner decides to engage ABMI to market the business, you will sign an exclusive Listing Agreement that gives us the right to represent you to market the business to a ready, willing and able buyer.
When ABMI lists a business for sale, we invest the money and energy needed to professionally package the listing, confidentially advertise it in various media and on the internet (without divulging the name of the business nor any other confidential information until/and unless each buyer provides us with a written promise of confidentiality), and we service the listing until it is sold, including regular consultations with the business owner during the marketing process.
ABMI has represented thousands of companies, in a wide variety of industries, and our broad base of knowledge provides the ability to assist the seller in not only pricing, but also in preparing the company for sale and facilitating a smooth transition of ownership.
(5) Professional Listing Packaging
This service is provided to business owners who sign a Listing Agreement with ABMI, at no additional charge to the owner, and includes ABMI's exclusive "Financial Stabilization", which analyzes the discretionary cash flow of the business to show the seller's re-cast financial records in a way that reflects the historical, current and annualized future cash flow potential, which is an analysis that all buyers, and their advisors and lender, require, before they will sign an Offer To Purchase Agreement. The ABMI listing packaging, assembled by the ABMI listing agent, with information provided by the business owner, also includes a narrative about the business, a list of the tangible assets included in the sale, and other data and information that helps buyers understand the "basics" of the acquisition. All such facts are the representations of the owner, with ABMI's assitance in asembling and analyzing the information. ABMI commonly also accumulates information about industry statistics, and other details that complete the packaging in an ultra professional manner. The result of the professional packaging effort is the production of information that will be our primary literature marketing tool, which is only shared with buyer prospects who provide us with a written promise of confidentiality.
(6) ABMI's exclusive "Buyer Discovery System"
This service, provided at no extra cost to the business owner, takes place once the packaging is completed, and includes ABMI presenting the business information to our agents, who then will canvass buyers in ABMI's exclusive data base of over 10,000 potential buyers who have previously contacted ABMI about buying a business, but who have not to date found their "ideal deal". In addition, ABMI advertises the business, using "blind ads" (ads that do not disclose the name or address of the business nor any other information that could compromise the seller's need for confidentiality) in various traditional advertising media (newspapers, direct mail, email promotions, etc).
Another very important element in ABMI's "Buyer Discovery System" is our unique internet marketing system, which has been recognized as the most thorough, up to date electronic lead system in the business brokerage industry.

(a) Advertising the business on over 170 "business opportunity" web sites, using "blind ads", (that describe the business in un-specific terms, to protect confidentiality), which is accessed by large numbers of buyers/entrepreneurs, locally, nationally and internationally, and
(b) Advertising the business on our own ABMI web site, and
(c) state of the art Search Engine Optimization techniques, the use of key word optimization, multi-site linkage and cross references, other "insider secret" internet marketing methods, and
(d) individual efforts by the staff of professional ABMI agents, advisors and consultants with their personal buyer contacts, and
(e) networking and public relations activities sponsored by ABMI.
The result of ABMI's extensive "Buyer Discovery System" is the generation of impressive quantities of buyer inquiries, which are assigned to ABMI agents, advisors and consultants for follow up and development.
(7) Confidentiality
Every buyer prospect is required to provide ABMI with a written Promise Of Confidentiality before any buyer is provided with details about any business. Confidentiality is maintained throughout the marketing activities. All buyers are encouraged to rely on ABMI agents for information, and discouraged from contacting business owners directly, except by appointment, arranged at the business owner's convenience. All buyers are cautioned to not visit the business unnanounced, and to only visit by invitaion of the business owner, arranged by an ABMI agent in advance. Over our almost 30 years of managing confidentiality for business owner clients, we have come to be very skilled at making sure that confidentiality is maintained.
(8)Accomplishing The Business Owner's Goals
We begin our relationship with a business owner by consulting with the owner about their "ideal exit strategy" and about the history of the business, not only assisting the owner in identifying the price they wish to achieve for the business, but also, structuring the marketing so that the owner receives the confidentiality and terms they prefer. Also discussed, including our consulting with the seller's advisors, are the seller's preferences for after-the-sale involvement in the business, if any, the seller's long term financial goals, and the taxable consequences of the sale. Then, ABMI works with the seller and his/her advisors to make those goals a reality.
(9) Managing Buyer Relations
ABMI's extensive advertising generates large quantities of buyer prospect inquiries, and ABMI invests the energy involved in pre-screening these inquirers, to identify the most likely qualified candidates. In fact, it's not unusual for ABMI to generate multiple qualified candidates for each business listed. After each buyer provides ABMI with a written Promise Of Confidentiality, ABMI then provides the buyer with the business marketing literature. Then, ABMI manages the introduction of these buyers to the seller, and arranges in person meetings between the buyer and seller, always by appointment, at the seller's convenience (at the business, or at ABMI offices, or at a restaurant, etc).
(10) Managing The Offer To Purchase/Letter Of Intent Process
When a buyer becomes interested in moving forward with an acquisition, ABMI manages the production and negotiations of the Offer To Purchase/Letter Of Intent process. ABMI acts as the conduit and facilitator for the documentation of the terms of the Offer/LOI, including working with the parties advisors, when asked to do so.
(11) Managing The Due Diligence Process
ABMI, having managed the successful sale of thousands of different businesses over the years, is especially skilled at managing this important aspect of the transaction, including: assisting the parties in all the details of a transaction; assisting the buyer in obtaining satisfactory financing for the purchase, including ABMI creating the preliminary loan request packet needed to take to lenders for approval, introducing the buyer to ABMI's extensive data base of likely lenders, ABMI's follow up with lenders to help the buyer with the financing process, and assisting the buyer and lender with any SBA documentation needed; assisting the buyer and seller with the management and satisfaction of all contingencies and conditions of the Offer/LOI; arranging any equipment inspections or appraisals that might be needed; helping the parties identify creditor work needed, including Bulk Transfer Provisions of the Uniform Commercial Code; working with the buyer's and seller's advisors to make sure they are involved in the satisfaction of the due diligence required; volunteering the services of ABMI's affiliated commercial real estate agency, Business Realty, Inc, to assist the parties with any real estate issues, including the buyer obtaining a satisfactory premises lease, arranging for any appraisals/surveys/EPA tests that the buyer's lender might require, coordination with a title company when required; coordination and cooperation with the attorneys in the production of the final purchase documents; coordination with the accountants in the accounting/allocations/tax issues for each party; and other details needed for a "clean conveyance" of the business assets. Few of ABMI's competitor business brokerages volunteer to manage these details, but ABMI has, for almost 30 years, offered to assist with these tasks, at no additional charge to the buyer or seller, as an accomodation, and as a part of our services.
