When the sale of the business includes real estate, BRI lists and sells the real estate. When the premises are rented from a 3rd party landlord, BRI assists the buyer and seller of the business in arranging a lease on the premises that is satisfactory to the buyer/tenant.
In some transactions the real estate is owned by the business owner, but the business owner prefers to be the business buyer's landlord, and sell the business to the buyer, but lease the premises to the buyer, sometimes offering the buyer an option to purchase the real estate later.

Services For Business and/or Real Estate Owners/Sellers
Business/real estate owners are our clients, on most transactions. We generally work for the owner, with whom we have a Listing Agreement, authorizing ABMI/BRI to market the business and/or real estate assets to a ready, willing and able buyer. We usually charge no front fees to most small or medium size business/real estate owners, but are paid a commission when the business and/or real estate sells.
When we list a business or real estate for sale, we invest the money and energy needed to professionally package the listing, confidentially advertise it in various media and on the internet (without divulging the name of the business nor any other confidential information until/and/unless each buyer provides us with a promise of confidentiality), and we service the listing until it is sold, including regular consultations with the business owner during the marketing process.
Having successfully brokered the sale of thousands of businesses over the years, many including real estate, ABMI/BRI have developed a unique multi-media Buyer Discovery System that is very successful at finding qualified buyers.
ABMI/BRI also sometimes accepts special consulting engagements by business owners whereby we receive a retainer for our services, against a commission when the business sells. However, most engagements are on a commission only basis.
ABMI's Middle Market Mergers & Acquisitions Division also accepts special fee-based engagements from buyers or sellers of larger businesses and/or real estate.
Services For Business/Real Estate Buyers
Business/real estate buyers are usually our customers. Buyers typically contact us, searching for low-risk businesses to purchase, with and without real estate. We charge no fees to buyers on most acquisitions transactions, but are paid a commission by the business/real estate owner/seller when the assets sell, except for special projects at the buyer's request, when ABMI/BRI might be asked to represent a buyer in a transaction.
ABMI/BRI always informs each party in writing, at the beginning of our relationships, identifying if we are a seller's agent, a buyer's agent, a dual agent, or a transaction broker.
ABMI/BRI works with all buyers to help them not only find their "ideal deal", but, when found, we volunteer to help buyers arrange the acquisition financing (at no extra cost to the buyer/borrower). ABMI/BRI have helped thousands of different buyers arrange financing, on hundreds of millions of dollars of acquisitions of all sizes, all prices, over the years.
When a buyer is ready to formalize a transaction, ABMI/BRI provides the Offer To Purchase/Letter of Intent documents and Real Estate Contracts (when applicable) that the parties can fill out and use to begin the negotiations, and we assist the parties in identifying contingencies/conditions that are included in the transaction. Then, ABMI/BRI work with the buyer and seller to satisfy those conditions and move the transaction forward in an orderly fashion, with the review and approval of the buyer's and seller's advisors.
And, ABMI/BRI works with the buyer's and seller's lawyers, accountants and other advisors to assist in a smooth, "clean", low-risk conveyance of the assets, including our managing the due diligence tasks and organizing the closing, working with appraisers and surveyors and EPA engineers and title companies (when applicable), and helping the business/real estate owner deliver the assets in a debt-free condition, assisting with any equipment inspections required, helping with the taking of the final inventory, performing Bulk Transfer and Uniform Commecial Code tasks, and coordinating the production of the final purchase documents created by attorneys.
